These Terms of Use ("Terms") govern your access to and use of the websites, products, and services ("Services") provided by VistaLink Technologies Ltd ("VistaLink," "we," "us," or "our"), a company registered in England and Wales. These Terms apply to all VistaLink products and services, including but not limited to vistalink.com, the Parley consumer application, the VistaLink Hotel Extranet (extranet.vistalink.com), the VistaLink Developer API, MCP server, and developer portal, and our voice and telephony infrastructure. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.
1. Definitions
The following definitions apply throughout these Terms:
- "VistaLink Platform" means the entire suite of technology, infrastructure, websites, applications, APIs, and services operated by VistaLink Technologies Ltd.
- "Parley" means the VistaLink consumer-facing AI travel assistant available as a web application and on iOS and Android, which enables chat-based hotel search, comparison, and booking.
- "API" means the VistaLink Developer API and MCP (Model Context Protocol) server, which provide programmatic access to hotel search, detail retrieval, conversational hotel intelligence, and booking capabilities.
- "Voice Services" means the VistaLink telephony infrastructure through which AI agents may place voice calls to hotels on behalf of users to negotiate rates, confirm availability, or complete bookings.
- "Hotel Extranet" means the VistaLink Hotel Extranet platform (extranet.vistalink.com) through which hotel partners manage their properties and respond to booking enquiries.
- "User" means any individual or entity that accesses or uses any VistaLink Service, whether as a consumer, developer, hotel partner, or visitor.
- "Developer" means any individual or entity that registers for an API key and accesses the VistaLink API or MCP server to integrate hotel intelligence or booking capabilities into their own applications.
- "End User" means any individual who interacts with a Developer's application that integrates VistaLink Services.
2. Acceptance of Terms
By accessing or using any VistaLink Service - including visiting our website, creating an account, using the Parley app, calling our API, or interacting with our Voice Services - you confirm that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you are using our Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and references to "you" or "your" include that organisation.
Certain Services may be subject to additional terms or policies (for example, the Developer API documentation or the Hotel Extranet terms). Where such additional terms apply, they are incorporated into these Terms by reference. In the event of a conflict, the more service-specific terms shall prevail.
3. Description of Services
VistaLink provides AI-powered technology services for hotel research and booking. Our Services include but are not limited to:
- Hotel Search Engine: A multimodal search engine that indexes over 280,000 hotels by visual aesthetics, semantic context, geographic location, and user preferences.
- Parley: A consumer-facing AI travel assistant available as a web application and on iOS and Android, enabling chat-based hotel search, comparison, and booking through natural language interaction.
- Developer API and MCP Server: Programmatic interfaces that allow third-party AI agents and applications to search hotels, retrieve property details, conduct conversational queries about hotels, and initiate bookings.
- Voice Services: A self-hosted telephony infrastructure through which AI agents may place voice calls to hotels to negotiate rates, confirm availability, or complete bookings on behalf of users.
- Hotel Extranet: A platform for hotel partners to manage their property listings, respond to booking enquiries, and interact with the VistaLink ecosystem.
Our Services are provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.
4. User Obligations
When using our Services, you agree to:
- Provide accurate and complete information when required.
- Use our Services only for lawful purposes and in compliance with all applicable laws and regulations.
- Not attempt to gain unauthorised access to any part of our Services, servers, or networks.
- Not use automated systems (bots, scrapers, etc.) to access our Services without our prior written consent or outside the scope of an authorised API integration.
- Not interfere with or disrupt the integrity or performance of our Services.
- Not transmit any harmful code, viruses, or malicious software.
- Not use our Services to infringe upon the intellectual property or other rights of any third party.
- Not misrepresent your identity or affiliation with any person or entity when using our Services.
5. API and Developer Terms
The following additional terms apply to Developers who access the VistaLink API or MCP server:
5.1 API Key Management
You are responsible for safeguarding your API keys and any authentication credentials. API keys are personal to your account and must not be shared, published in public repositories, embedded in client-side code, or otherwise exposed to unauthorised parties. You are responsible for all activity that occurs under your API key, whether or not authorised by you. You must notify VistaLink immediately if you suspect unauthorised use of your credentials.
5.2 Rate Limits and Fair Usage
API access is subject to rate limits as documented in the Developer Portal. Rate limits vary by plan tier and may be adjusted at our discretion. You must implement appropriate error handling for rate-limit responses (HTTP 429). Attempts to circumvent rate limits - including but not limited to rotating API keys, distributing requests across multiple accounts, or using proxies to evade detection - constitute a violation of these Terms and may result in immediate suspension.
5.3 Permitted and Prohibited Uses
The API may be used to build applications that enhance the travel experience for End Users. The following uses are expressly prohibited:
- Systematic scraping, harvesting, or bulk downloading of hotel data for purposes other than serving real-time End User requests.
- Resale, sublicensing, or redistribution of raw API data to third parties without prior written agreement from VistaLink.
- Building or training competing hotel search or booking services using data obtained through the API.
- Using the API to send spam, phishing communications, or unsolicited marketing messages.
- Accessing the API for benchmarking or competitive analysis without prior written consent.
- Any use that violates applicable laws, including data protection regulations, consumer protection laws, or competition law.
5.4 Developer Data Handling Obligations
If your application collects, processes, or stores personal data from End Users in connection with VistaLink Services, you must:
- Comply with all applicable data protection laws, including the UK GDPR and, where applicable, the EU GDPR.
- Maintain a clear and accessible privacy policy that accurately describes your data collection and processing practices.
- Obtain all necessary consents from End Users before transmitting their personal data to the VistaLink API.
- Implement appropriate technical and organisational security measures to protect personal data.
- Not retain API response data containing personal information longer than necessary to serve the End User request, unless you have an independent lawful basis for retention.
- Promptly notify VistaLink of any data breach that may affect data processed through the API.
Where the processing relationship requires it, VistaLink may require execution of a Data Processing Agreement (DPA). Enterprise-tier Developers should contact us to arrange a DPA.
5.5 No Guarantees on Availability or Pricing
Hotel data returned by the API - including availability, pricing, amenities, images, and descriptions - is provided for informational purposes and may not reflect real-time conditions. VistaLink does not guarantee the accuracy, completeness, or timeliness of any data returned through the API. Developers must not represent API data as guaranteed or confirmed to End Users without independent verification.
6. Voice and Telephony Terms
The following additional terms apply to the use of VistaLink Voice Services:
6.1 Nature of Voice Services
Voice Services enable AI agents to place telephone calls to hotels on your behalf to negotiate rates, check availability, or facilitate bookings. When a call is placed through our Voice Services, VistaLink acts as a technology intermediary - not as a travel agent, booking agent, or representative of any hotel. The AI agent communicates on your behalf based on the preferences and instructions you provide, but VistaLink does not guarantee any particular outcome from these calls.
6.2 Call Recording and Monitoring
Calls placed through VistaLink Voice Services may be recorded and monitored for quality assurance, service improvement, dispute resolution, and compliance purposes. By using Voice Services, you consent to the recording of calls placed on your behalf. Where required by applicable law, the hotel or other receiving party will be informed that the call may be recorded. Call recordings are retained in accordance with our data retention policies as described in our Privacy Policy.
6.3 Intermediary Status
VistaLink is a technology provider that facilitates communication between users and hotels. We are not a party to any agreement you may enter into with a hotel as a result of a call placed through our Voice Services. Any booking, rate, or arrangement negotiated during a voice call is between you and the hotel. VistaLink bears no liability for the hotel's performance, the accuracy of information communicated during the call, or the outcome of any negotiation.
6.4 No Guarantee of Booking Outcomes
VistaLink does not guarantee that any voice call will result in a successful booking, a particular rate, or any specific outcome. Hotels may decline requests, offer different rates than expected, or be unreachable. Technical issues, including call quality, network availability, or hotel phone system limitations, may affect the success of any given call. VistaLink is not liable for any losses arising from failed, incomplete, or unsuccessful calls.
7. Booking and Travel Disclaimers
7.1 Facilitator, Not Provider
VistaLink facilitates hotel search, comparison, and booking through technology. We do not own, operate, or manage any hotel property. We do not provide accommodation, travel, or hospitality services. Any booking made through our Services creates a contractual relationship between you and the hotel - VistaLink is not a party to that contract.
7.2 Accuracy of Hotel Information
Hotel information displayed through our Services - including property descriptions, amenity lists, photographs, star ratings, guest reviews, and location data - is sourced from hotels, third-party data providers, and our own enrichment processes. While we make reasonable efforts to ensure accuracy, this information may be incomplete, outdated, or inaccurate. VistaLink does not warrant or guarantee the accuracy of any hotel information and is not liable for discrepancies between information shown in our Services and actual hotel conditions.
7.3 Pricing
Prices displayed through our Services are indicative and are subject to change without notice. The final price for any booking is determined by the hotel at the time of confirmation and may differ from the price shown during search or negotiation. Prices may exclude taxes, resort fees, service charges, or other surcharges that the hotel may apply. VistaLink is not responsible for price discrepancies, currency conversion differences, or additional charges imposed by the hotel.
7.4 Cancellation and Refund Policies
Cancellation and refund policies are determined by each hotel and may vary by property, room type, rate plan, and date of stay. It is your responsibility to review and understand the applicable cancellation policy before confirming any booking. VistaLink is not responsible for enforcing hotel cancellation policies and is not liable for any charges, penalties, or losses resulting from cancellations or no-shows.
7.5 Hotel Service Quality
VistaLink has no control over the quality, safety, legality, or suitability of any hotel property or the services provided by any hotel. We do not inspect, endorse, or guarantee any hotel listed in our Services. Any complaints about hotel service quality, cleanliness, safety, or other issues should be directed to the hotel. VistaLink is not liable for any loss, injury, damage, or dissatisfaction arising from your stay at any hotel.
8. Data Protection
VistaLink is committed to protecting your personal data. This section provides a summary of our data protection practices. For full details, please refer to our Privacy Policy.
8.1 Data Controller and Processor Roles
VistaLink Technologies Ltd acts as the data controller for personal data collected directly through our Services (website visits, Parley usage, account registrations, and voice calls). Where Developers use the VistaLink API and transmit End User personal data to VistaLink for processing, VistaLink acts as a data processor on behalf of the Developer, who remains the data controller for their End Users' data.
8.2 Personal Data We Collect
Depending on how you interact with our Services, we may collect:
- Contact information (name, email address) provided through account registration or enquiry forms.
- Usage data (IP address, browser type, pages visited, search queries, interaction patterns).
- Device information (device type, operating system, unique identifiers).
- Booking data (travel dates, hotel preferences, payment information) where applicable.
- Voice call data (call recordings, call metadata) when using Voice Services.
- API usage data (request logs, response metadata) for Developer accounts.
8.3 Your Rights
Under the UK GDPR (and, where applicable, the EU GDPR), you have the right to access, rectify, erase, restrict processing, port your data, object to processing, and withdraw consent. To exercise these rights, please contact us at [email protected]. We will respond within one calendar month. You also have the right to lodge a complaint with the Information Commissioner's Office (ICO).
8.4 Cross-Border Data Transfers
Your personal data may be transferred to and processed in countries outside the United Kingdom. Where such transfers occur, we ensure appropriate safeguards are in place - including Standard Contractual Clauses or adequacy decisions - in accordance with applicable data protection laws.
8.5 Cookies

8.6 Data Retention
We retain personal data only for as long as necessary to fulfil the purposes for which it was collected. Account data is retained for the duration of your account and for a reasonable period thereafter to comply with legal obligations. API request logs are retained for up to 90 days. Voice call recordings are retained for up to 12 months unless a longer period is required for dispute resolution or legal compliance. When personal data is no longer needed, it is securely deleted or anonymised.
8.7 Data Processing Agreements for Developers
Developers whose use of the API involves the processing of End User personal data may be required to enter into a Data Processing Agreement (DPA) with VistaLink. The DPA sets out the parties' responsibilities regarding data protection, security measures, sub-processor management, and breach notification. Enterprise-tier Developers should contact [email protected] to request a DPA.
9. Disclaimer of Warranties
To the maximum extent permitted by applicable law, our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Without limiting the foregoing, VistaLink does not warrant that:
- Our Services will be uninterrupted, timely, secure, or error-free.
- The results obtained from use of our Services (including search results, hotel data, pricing information, and AI-generated recommendations) will be accurate, reliable, or complete.
- Any defects or errors in our Services will be corrected.
- Our Services will meet your specific requirements or expectations.
- The API will maintain any particular level of uptime, latency, or throughput.
Search results, recommendations, and AI-generated content provided through our Services are for informational purposes only and should not be relied upon as the sole basis for booking, financial, or other decisions.
10. Limitation of Liability
To the maximum extent permitted by applicable law, VistaLink Technologies Ltd, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, data, use, goodwill, or other intangible losses.
- Costs of procuring substitute services.
- Losses arising from reliance on hotel information, pricing, or availability data provided through our Services.
- Losses arising from failed, incomplete, or unsuccessful voice calls or booking attempts.
- Any unauthorised access to or use of our servers, or any personal data stored therein.
- Any interruption, suspension, or termination of our Services.
Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of one hundred pounds sterling (GBP 100) or the total amount you have paid to VistaLink in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
11. Force Majeure
VistaLink shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic or epidemic, government actions or sanctions, war or terrorism, civil unrest, power failures, internet or telecommunications failures, cyberattacks, or the failure of third-party services upon which our Services depend.
12. Intellectual Property
All content, features, and functionality of our Services - including but not limited to text, graphics, logos, icons, images, audio, video, software, algorithms, AI models, data enrichment methodologies, API designs, and underlying technology - are the exclusive property of VistaLink Technologies Ltd or its licensors and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from our Services without our prior written consent, except as expressly permitted by applicable law for personal, non-commercial use or as authorised through a valid API integration.
The VistaLink name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of VistaLink Technologies Ltd. You must not use such marks without our prior written permission. Developers may reference the VistaLink name in connection with their authorised integrations in accordance with any brand guidelines we may publish.
13. User Content
If you submit, upload, or transmit any content through our Services (including search queries, feedback, chat messages, or communications), you grant VistaLink a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and process such content solely for the purpose of providing and improving our Services.
You represent and warrant that you own or have the necessary rights to any content you submit and that such content does not violate the rights of any third party.
14. Indemnification
You agree to indemnify, defend, and hold harmless VistaLink Technologies Ltd and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of our Services.
- Your violation of these Terms.
- Your violation of any rights of a third party.
- Any End User claims arising from your application's use of the VistaLink API (applicable to Developers).
- Any breach of applicable data protection laws in connection with your use of our Services.
15. Termination
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms or any applicable additional terms.
- Violation of applicable laws or regulations.
- Conduct that we reasonably believe is harmful to other users, third parties, or our business interests.
- Non-payment of fees (for paid API plans or other paid Services).
- Extended inactivity on Developer accounts (we may revoke unused API keys after prolonged inactivity with prior notice).
Upon termination, your right to use our Services will immediately cease. You must immediately stop using any API keys or other credentials. All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and limitations of liability.
You may terminate your use of our Services at any time by ceasing all use and, where applicable, deleting your account through the relevant portal or by contacting us.
16. Third-Party Links and Services
Our Services may contain links to third-party websites or services that are not owned or controlled by VistaLink. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such third-party content, products, or services.
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer based in the European Union, nothing in these Terms affects your rights under mandatory consumer protection legislation in your country of residence.
18. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:
- Posting the updated Terms on our website with a revised effective date.
- Sending an email notification to registered account holders (for Developer and Extranet accounts).
- Displaying a notice within the Parley application (for Parley users).
Your continued use of our Services after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our Services.
19. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
20. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any additional service-specific terms, constitute the entire agreement between you and VistaLink Technologies Ltd regarding your use of our Services and supersede all prior agreements, understandings, and communications, whether oral or written.
