VistaLink provides AI-powered technology services, including but not limited to:

• A multimodal hotel search engine that indexes hospitality by visual aesthetics, semantic context, and user preferences.
• Caladan, a low-latency voice AI infrastructure platform.
• Parley, a consumer application for AI-assisted hotel booking and negotiation.

Our Services are provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.

3. User Obligations

When using our Services, you agree to:

• Provide accurate and complete information when required.
• Use our Services only for lawful purposes and in compliance with all applicable laws and regulations.
• Not attempt to gain unauthorised access to any part of our Services, servers, or networks.
• Not use automated systems (bots, scrapers, etc.) to access our Services without our prior written consent.
• Not interfere with or disrupt the integrity or performance of our Services.
• Not transmit any harmful code, viruses, or malicious software.
• Not use our Services to infringe upon the intellectual property or other rights of any third party.

4. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio, video, software, algorithms, and underlying technology, are the exclusive property of VistaLink Technologies Ltd or its licensors and are protected by United Kingdom and international copyright, trademark, patent, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from our Services without our prior written consent, except as permitted by applicable law for personal, non-commercial use.

5. User Content

If you submit, upload, or transmit any content through our Services (including search queries, feedback, or communications), you grant VistaLink a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and process such content solely for the purpose of providing and improving our Services.

You represent and warrant that you own or have the necessary rights to any content you submit and that such content does not violate the rights of any third party.

6. Disclaimer of Warranties

To the maximum extent permitted by applicable law, our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, secure, or free of harmful components.

Search results, recommendations, and AI-generated content provided through our Services are for informational purposes only and should not be relied upon as the sole basis for booking, financial, or other decisions.

7. Limitation of Liability

To the maximum extent permitted by applicable law, VistaLink Technologies Ltd, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) our Services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of one hundred pounds sterling (GBP 100) or the amount you have paid to VistaLink in the twelve months preceding the claim.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless VistaLink Technologies Ltd and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and limitations of liability.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website with a revised effective date. Your continued use of our Services after any such changes constitutes your acceptance of the revised Terms.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
